1. Introduction

1.1 Platform Overview

PeakVault (hereinafter referred to as "Platform", "we", "us" or "our") is a comprehensive crypto financial services platform operated by PeakVault Foundation, incorporated in the Republic of Seychelles. The Platform provides services including but not limited to crypto asset deposits, collateralized lending, peer-to-peer (C2C) trading, insurance pool, task center, decentralized lottery, leaderboards, and community voting governance (collectively, the "Services"). This Terms of Service Agreement (the "Agreement") constitutes a legally binding contract between you and the Platform governing your use of the Services.

1.2 Scope of Agreement

This Agreement applies to all activities conducted through the Platform website (peakvaults.com), mobile applications, APIs, or any other means of accessing and using the Services. Certain Services may be subject to additional terms or rules (e.g., Collateralized Lending Terms, C2C Trading Rules), which form an integral part of this Agreement.

1.3 Acceptance of Terms

By creating an account or using the Services, you represent that you have read, understood, and agree to be bound by all terms of this Agreement. If you do not agree to any provision of this Agreement, you must immediately cease using the Services.

1.4 Amendments

We reserve the right to modify this Agreement at any time. Amendments will take effect upon publication on the Platform website and shall not apply retroactively to conduct prior to the effective date. Your continued use of the Services after any modification constitutes acceptance of the revised Agreement. If you do not agree to the modified terms, you must discontinue use of the Services and close your account.

2. Definitions

  • Digital Assets means virtual currencies, cryptographic tokens, or virtual commodities based on cryptographic protocols, including but not limited to BTC, ETH, USDT, SOL, BNB, OKB, and PEAK.
  • Platform Account means the user account you register on the Platform to access and use the Services.
  • Peak Price means the highest USD market price of a digital asset tracked by the Platform during the deposit period.
  • PEAK means the native ecosystem token issued by the Platform, with a total supply of 100 million tokens and no additional issuance.
  • C2C Trading means peer-to-peer transactions of digital assets conducted directly between users on the Platform.
  • Insurance Pool means the mechanism through which users stake PEAK into the Platform's reserve fund to share in Platform revenues.
  • Liquidation means the forced sale or forfeiture of collateral by the Platform when the loan-to-value ratio reaches or exceeds the liquidation threshold due to a decline in the collateral's market value.

3. Account Registration and Security

You must provide accurate, true, and complete personal information during registration. You are solely responsible for the security of your account credentials, including username, password, two-factor authentication keys, and fund password. All activities conducted through your account shall be deemed your own actions. You must notify us immediately if you become aware of any unauthorized access to your account. The Platform reserves the right to suspend or terminate your account if it suspects involvement in fraud, money laundering, or other illegal activities.

4. Service Usage Rules

4.1 Peak Deposit Service

  • You may deposit eligible digital assets for flexible periods such as 7, 15, 30, 180, or 365 days.
  • During the deposit period, the Platform continuously tracks the USD market price of the asset (using data sources including CoinMarketCap, CoinGecko, and Chainlink) every 10 minutes and automatically retains the all-time high price.
  • At settlement upon maturity, the USD valuation is based on the highest price (Peak Price) recorded during the deposit term. Early withdrawal will be settled at the prevailing real-time market price and may incur a penalty in PEAK tokens.
  • Long-term deposits (over 180 days) may qualify for additional PEAK rewards, subject to Platform announcements.

4.2 Collateralized Lending Service

  • You may collateralize designated digital assets to borrow other digital assets based on the Platform's loan-to-value (LTV) ratios.
  • Interest rates are differentiated between flexible and fixed-term loans. Specific rates are displayed on the borrowing interface. Interest = Borrowed Amount × Annualized Interest Rate × (Days Outstanding ÷ 365).
  • You must closely monitor the market value of your collateral and your LTV ratio. When the LTV reaches or exceeds the liquidation threshold, your collateral will be subject to forced liquidation, and the loan will be deemed repaid. Liquidation thresholds are set by the Platform and published on the Services pages.
  • You may repay all or part of your loan before maturity. Upon repayment, the corresponding collateral will be unfrozen and made available again.

4.3 C2C Trading Service

  • The C2C marketplace allows users to buy and sell digital assets directly. The Platform solely provides information display and matchmaking services and does not act as a buyer, seller, or counterparty.
  • Publishing trading advertisements requires meeting the minimum PEAK staking requirement set by the Platform.
  • Trading fees are borne by both buyers and sellers at the rates published by the Platform. Users holding PEAK may enjoy fee discounts based on their VIP tier.
  • You are responsible for evaluating the creditworthiness and performance capability of counterparties. In case of a dispute, you may file an appeal with the Platform; the Platform will mediate based on evidence provided but assumes no guarantee regarding the outcome.

4.4 Insurance Pool

  • You may stake PEAK into the Insurance Pool and receive a share of certain Platform revenues (such as trading fees and lending interest), proportional to your stake.
  • Staked PEAK will be frozen, and withdrawals are subject to a lock-up period set by the Platform. The lock-up period and revenue-sharing ratios are published by the Platform and may be adjusted at any time.
  • Insurance Pool funds primarily serve as a risk reserve to protect user assets under extreme market conditions or security events. The Platform makes no guarantee regarding the profitability of the Insurance Pool.

4.5 Task Center and Lottery

  • The Platform publishes various tasks through the Task Center (e.g., daily check-ins, referral registrations, social media engagements), and users who complete tasks may receive PEAK rewards. Reward rules are detailed in each task's description.
  • The lottery system offers MegaWin, Lucky, and Sic Bo games. Results rely on third-party random data sources. The Platform ensures transparency of the drawing process but does not guarantee that any user will win.

4.6 Voting Governance

  • PEAK holders may participate in community voting on major Platform matters based on their holdings. 1 PEAK = 1 vote.
  • Voting proposals are initiated by the Platform or the community. Voting results serve as important reference for operational decisions.

5. Fees and Taxes

Service fees are detailed on the Platform's fee schedule page. The Platform reserves the right to adjust fees with prior notice. Any taxes arising from your use of the Services shall be borne solely by you. PEAK may be used to offset trading fees, loan interest, and other charges. Specific offset rules are governed by VIP tier descriptions.

6. User Obligations and Prohibited Activities

  • You may not use the Platform for any illegal activities, including but not limited to money laundering, terrorist financing, fraud, or market manipulation.
  • You may not interact with the Platform using automated scripts, bots, or any non-human means, except for API usage authorized in writing by the Platform.
  • You may not interfere with, disrupt, or place an unreasonable burden on the normal operation of the Platform.
  • You may not infringe upon the intellectual property rights, privacy rights, or other legal rights of the Platform or any third party.

7. Risk Disclosure

IMPORTANT NOTICE: Digital asset trading and investing involve extremely high risk. You may lose all of your invested capital. The Platform strongly recommends that you fully understand the relevant risks and consult an independent financial advisor before making any decisions. Specific risks include, but are not limited to: severe market volatility, regulatory changes, technical risks associated with blockchain networks, smart contract vulnerabilities, hacking, and liquidation risk. By using the Services, you acknowledge that you understand and voluntarily assume all such risks.

8. Intellectual Property

All intellectual property rights in the Platform website and its content, including trademarks, logos, software code, interface designs, and data, are owned by PeakVault Foundation. You may not copy, modify, distribute, or create derivative works in any form without prior written permission.

9. Privacy

We value your privacy. For detailed information on how we collect, use, and protect personal information, please refer to the Platform's Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Services are provided on an "as is" basis, and the Platform makes no warranties, express or implied.
  • The Platform shall not be liable for any loss resulting from service interruption, delay, data error, or any force majeure event.
  • The Platform's aggregate liability to you shall not exceed the total fees you paid to the Platform in the twelve (12) months preceding the event giving rise to the claim.
  • The Platform shall not be liable for any indirect, incidental, punitive, or consequential damages.

11. Indemnification

You agree to indemnify and hold harmless the Platform and its affiliates from any claims, losses, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your breach of this Agreement, misuse of the Services, or violation of any third party's rights.

12. Termination

You may cease using the Services and close your account at any time. The Platform may immediately suspend or terminate your account if you violate this Agreement or applicable law. Following termination, you must withdraw any remaining assets within a reasonable period; assets not withdrawn within that period may be disposed of by the Platform in accordance with applicable law.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Seychelles. Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the Seychelles International Commercial Arbitration Centre (SICCA) for arbitration in accordance with its then-effective arbitration rules. The seat of arbitration shall be Victoria, Seychelles. The language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.

14. Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the use of the Services. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The Platform's failure or delay in exercising any right under this Agreement shall not operate as a waiver of such right.
